If Summit Filing Solutions’ (“Summit”) historical shareholder distributions violate tax laws as an S-Corp;

1. Summit’s Historical Distributions Violate Tax Code for S-Corps

Summit’s distributions violate tax code CFR § 1.1361(I), which states that all shareholder distributions for S-corps must be made pro rata (equal to the percentage each shareholder owns) unless the company’s corporate records state otherwise, or a second type of stock can be inadvertently created. 26 USC § 1361(b)(1)(D) prohibits S-corps from having more than one class of stock.  Here, Summit’s distributions on May 22, 2022 and February 9, 2024 included disproportionate amounts to shareholders. Articles of Incorporation confer identical rights to each shareholder, so there is no exception to the tax code. 

The distributions on February 9, 2024 are the most concerning as they show two major issues. First, George Beaumont sold all of his shares on June 1, 2022, yet received distributions on February 9, 2024, totaling $360. Second, he transferred his rights to Carrie Canuck, a nonresident alien. Under 26 USC § 1361(b)(1)(C), an S-corp shareholder cannot be a nonresident alien, or else the S-corp may be inadvertently terminated.
